Net final value at year 3 sale — optimized plan
$242,783
After-tax dollars at end of year 3, net of all federal + state taxes through the sale.
This year: exercise 2,640 shares (of 10,000 total).
= gross gain at sale − federal + state LTCG − AMT premium above baseline regular tax (time-valued)
AMT premium for exercising: $90,254 (on top of $228,434 regular tax across the horizon)
Optimized plan keeps $57,102 more than lump-sum, $796 more than even split.
Federal AMT crossover this year: 1,271 shares ($57,238 bargain element). Above that, each additional share this year adds federal AMT.
Estimates only. Not financial advice.
Net final value by year
Running tally: NTV from shares exercised through year y, minus AMT premium paid through year y. The last year matches the plan's headline NTV. Hover a year for plan totals.
Optimized exercise schedule
You pay the higher of Regular tax and Tentative AMT per jurisdiction, then subtract Credit recovered. The result is Net tax. Hover any number for the bracket-by-bracket breakdown.

The AMT credit only recovers in years where regular tax exceeds AMT — typically a year with no ISO exercise. Every year in this schedule has bargain element, so AMT exceeds regular tax in every year and the credit carries forward untouched. Try a longer horizon or fewer total shares to introduce a recovery year.

Estimates only. Excludes disqualifying dispositions, NSOs, multi-state moves, and AMT preferences other than ISO bargain elements. Long-term capital gains tax assumes a qualifying disposition (ISO held ≥1 yr from exercise and ≥2 yr from grant); state LTCG follows ordinary brackets except where the state grants preferential treatment (HI, ND, SC, WI, AR, NM) or has a dedicated LTCG-only tax (WA). Assumes you are within the $100K ISO limit (any portion of an annual ISO grant whose FMV at grant exceeds $100K is treated as NSO from the start, §422(d)). State AMT figures are 2025 (next-year values published in late 2026). Not financial advice.
QSBS note. If your shares qualify (typically pre-IPO C-corp grants held 5+ years), a federal rule lets you exclude up to $10M of gain on a future sale from federal tax. That single rule shifts exercise-timing math more than AMT does. (This is §1202 “qualified small-business stock”.) Modeled in beta, not here.
You optimized one grant in isolation. The beta optimizes ISOs alongside your RSUs, NSOs, and stock in one plan.

What this calculator does that a single-year AMT estimate cannot
This calculator finds the multi-year incentive stock option (ISO) exercise schedule that maximizes the after-tax value of your grant. It accounts for the alternative minimum tax (AMT) in each exercise year, the AMT credit you recover in later years, and your stock's volatility across the planning horizon. You enter the grant (shares, strike, current fair market value), your income, your filing status, and your state; it returns a year-by-year plan with the tax bill and net value of every year. It also handles the 90-day post-termination exercise window if you have already left the company.
Most AMT tools are single-year estimators. They answer one question: if you exercise this many shares this year, what is this year's AMT hit. That number is useful, and this calculator reports it too, as your AMT crossover. What a single-year estimate cannot tell you is whether splitting the exercise across two, three, or five tax years beats exercising now. That answer depends on what a one-year view never sees: the AMT exemption resets every January, the AMT credit pays you back only in years when your regular tax runs above the tentative minimum, and the stock can move while you wait. This calculator scores complete schedules against all of it and returns the one that ends with the most after-tax value.
The calculator is free and requires no account. If you only need this year's number, the crossover line gives it in one read; the schedule under it is what the single-year tools leave out. The tax math behind both is independently verified: every 2026 federal constant matches IRS Rev. Proc. 2025-32, and federal and state results are reproduced against outside reference calculators, with the proof recomputed live on the verification page.
What this calculates
- Your AMT crossover: the most ISOs you can exercise this year before Alternative Minimum Tax (AMT) kicks in.
- AMT on the gain at exercise (the "bargain element"), with state add-ons for CA, CO, CT, and MN.
- An optimized multi-year exercise schedule, compared side by side with lump-sum and even-split alternatives.
- Net final value across the schedule, net of AMT credit refunds in later years.
Doesn't cover state AMT outside CA, CO, CT, and MN. Doesn't replace your CPA.

Methodology
Optimization. Searches the multi-year ISO exercise space via chunk-grid plus one-share refinement, scoring every candidate schedule against federal and state AMT (with credit recovery), regular tax, and long-term capital gains at horizon. Returns the grid-optimal share-per-year plan. The search is deterministic: the same inputs on the same date return the same answer, so the recommendation is verifiable.
Tax-code coverage. Relevant federal code (ordinary brackets, long-term capital gains, AMT with credit recovery, FICA, Net Investment Income Tax) plus all 50 states and DC for state ordinary brackets and LTCG treatment. State AMT modeled for CA, CO, CT, MN. Brackets reflect IRS Rev. Proc. 2025-32 and the One Big Beautiful Bill Act (OBBBA) provisions for tax year 2026. Validated against 870+ unit tests covering bracket math, AMT credit recovery, state conformity, and the optimizer's search path.
Why use an optimizer rather than asking an LLM to do the math: a benchmark of five frontier large language models on the same multi-year ISO problem found that all 15 trials overstated the after-tax result of their own proposed schedule by 2x to 20x (HackerNoon write-up).
AI assistant integration
Use this from ChatGPT, Claude, Cursor, or VS Code
Ask your agent:
“I have 8,000 ISOs at $5 strike, FMV $40. How many should I exercise this year to stay below the AMT crossover?”
With the OptionsAhoy MCP installed, your agent calls amt_iso_optimize and returns the same after-tax answer this calculator computes.
