Estate note. Heirs receive a stepped-up basis at death (§1014), eliminating built-in gain on inherited shares. Older holders who plan to bequeath rather than sell may rationally never de-concentrate.

Trimble Inc. is an American software, hardware, and services technology company that was founded in 1978. Its headquarters is in Westminster, Colorado. It is publicly traded on the Nasdaq and listed on the S&P 500. Trimble develops hardware and software for a variety of business sectors including architecture, engineering, and construction (AEC); surveying, mapping, and geomatics (geospatial); and transportation and logistics (T&L).

Charles Trimble founded the company in 1978 to commercialize satellite positioning, and it built a business around putting precise location into industrial work: surveying instruments, machine control for earthmoving equipment, and guidance for agricultural vehicles. The software layer that plans the work and records what was built has become the more valuable half, converting a hardware sale into a subscription. Construction and agriculture capital cycles drive demand, which makes results more volatile than the recurring-revenue mix suggests. Interoperability with equipment makers is a persistent strategic tension. Headquarters are in Westminster, Colorado.

Equity comp at Trimble

  • Trimble's Change in Control Severance Agreements use a double-trigger structure: accelerated vesting of outstanding equity awards only occurs if a qualifying termination happens within 12 months after a change in control (or within 3 months before one, if connected to the deal). There is no single-trigger acceleration and no excise tax gross-up for named executive officers, meaning executives bear any excise tax themselves rather than the company reimbursing it.
  • RSUs use double-trigger vesting. Two things must both happen before the shares are yours: (1) the normal time-based vesting completes, and (2) the company has a liquidity event (an IPO or an acquisition). Until both happen, you do not yet own the shares and you do not owe tax on them.
  • Vesting schedule: Employee RSUs typically vest in three equal annual installments over 3 years (33.3% per year), rather than the more common 4-year schedule with a 1-year cliff..

If a meaningful share of your net worth sits in TRMB, concentration risk is the question. This calculator quantifies drawdown impact at 30 / 50 / 70%, and the trade-off between selling down (tax cost now) versus hedging (option premium drag), auto-filled with TRMB's option-implied volatility.

Example: 5,000 TRMB shares at $57.52 is a $287,600 position. A 30% drawdown costs $86,280; a 50% drawdown costs $143,800; a 70% drawdown costs $201,320. The calculator quantifies the trade-off between selling down (immediate capital-gains tax) and hedging (option premium drag) using TRMB's option-implied volatility and your cost basis.

Trimble equity questions

How much TRMB stock is too much?
There is no single threshold, but the larger the share of your net worth in one stock, the more a single bad year can set back your plans. The calculator above quantifies the drawdown impact at 30, 50, and 70 percent for your TRMB position and weighs selling down (which triggers capital-gains tax now) against hedging (which costs option premium).
Does Trimble grant ISOs, NSOs, or RSUs?
Equity compensation at Trimble typically takes the form of restricted stock units (RSUs). Restricted stock units are taxed as ordinary income when they vest.
Do Trimble RSUs use double-trigger vesting?
Yes. Trimble restricted stock units (RSUs) vest only when two things both happen: the time-based schedule completes, and the company has a liquidity event such as an initial public offering (IPO) or an acquisition. Until both occur you do not own the shares and owe no tax on them.
