Lock-in-now is deterministic (0%). Plans that wait depend on future prices; risk is near-zero when inventory comfortably exceeds the goal. Volatility: each stack's option-implied vol if a ticker is set, otherwise 30%. Lognormal model; real markets have fatter tails.

The Archer-Daniels-Midland Company, commonly known as ADM, is an American multinational food processing and commodities trading corporation founded in 1902 and headquartered in Chicago, Illinois.
Source: Wikipedia (CC BY-SA 4.0)
Founded in 1902 as a linseed crushing operation, the company buys, transports, stores, and processes agricultural commodities, turning corn and oilseeds into ingredients for food, feed, and fuel. Margins come from spreads between raw and processed prices and from the logistics network rather than from any brand. Ethanol and renewable diesel link results to energy policy as much as to crop yields. Grain origination assets are hard to replicate because they occupy specific river and rail locations. Headquarters are in Chicago.

Equity comp at Archer Daniels Midland
- ADM's equity awards use a modified structure. On a change in control, RSUs vest immediately in full only if the award is not assumed or replaced by the acquirer. If the award IS assumed or replaced, vesting instead requires a qualifying termination (without cause, or resignation for good reason) within 24 months of the change in control, i.e. a true double-trigger. PSUs follow a similar modified pro rata approach. ADM's proxy statements explicitly label this the 'double trigger' provision for continuing awards.
- RSUs use double-trigger vesting. Two things must both happen before the shares are yours: (1) the normal time-based vesting completes, and (2) the company has a liquidity event (an IPO or an acquisition). Until both happen, you do not yet own the shares and you do not owe tax on them.

If you hold vested Archer Daniels Midland (ADM) shares and need a set amount of cash by a date (a house down payment, tuition, a sabbatical, a business buy-in), the question is which lots to sell and in which tax years to keep the most after tax. This calculator builds the minimum-tax sell schedule across your lots, accounting for federal long-term capital gains, the net investment income tax, and your state.
Example: a 5,000-share ADM position at $80.45 is worth $402,250. Say you need $150,000 of it for a house down payment by next spring. Selling enough shares all in one tax year can push the gain into the higher long-term capital-gains bracket and trigger the 3.8% net investment income tax; spreading the sale across two tax years often nets more. The calculator above finds the minimum-tax sell schedule across your specific lots, basis, goal, and date.

Archer Daniels Midland equity questions
- How much ADM stock do I sell to fund a goal without overpaying tax?
- It depends on your cost basis, your target amount and date, and how the sale spreads across tax years. Selling vested ADM shares triggers long-term capital-gains tax, plus the 3.8% net investment income tax and state tax above certain income, and bunching a large sale into one year can push the gain into a higher bracket. The calculator above builds the minimum-tax sell schedule across your lots to net your target amount by your date.
- Does Archer Daniels Midland grant ISOs, NSOs, or RSUs?
- Equity compensation at Archer Daniels Midland typically takes the form of restricted stock units (RSUs). Restricted stock units are taxed as ordinary income when they vest.
- Do Archer Daniels Midland RSUs use double-trigger vesting?
- Yes. Archer Daniels Midland restricted stock units (RSUs) vest only when two things both happen: the time-based schedule completes, and the company has a liquidity event such as an initial public offering (IPO) or an acquisition. Until both occur you do not own the shares and owe no tax on them.
