Lock-in-now is deterministic (0%). Plans that wait depend on future prices; risk is near-zero when inventory comfortably exceeds the goal. Volatility: each stack's option-implied vol if a ticker is set, otherwise 30%. Lognormal model; real markets have fatter tails.

ADP separated its brokerage services division in 2007, creating a company that runs the unglamorous infrastructure of shareholder communications: proxy statements, vote processing, and account statements for most of the retail investors in the United States. Regulation requires that those documents reach shareholders, so demand does not depend on market direction, and the processing runs at a scale competitors cannot economically replicate. A second business supplies trade processing and back-office systems to broker-dealers under multi-year contracts. Recurring revenue and high client retention are the defining financial characteristics. Headquarters are in Lake Success, New York.

Equity comp at Broadridge Financial Solutions
- Broadridge does not use the typical 4-year annual-vesting RSU structure common at most public companies. Instead, time-based RSUs vest in a single lump sum roughly 2.5 to 3 years after the grant date, and performance-based RSUs vest after a 3-year performance period tied to company metrics. On a change in control, Broadridge uses a double-trigger structure (a mechanism requiring two separate events before equity accelerates): unvested RSUs and PSUs only accelerate if the company is acquired AND the employee is terminated without cause (or resigns for good reason) within a following window, per the company's Change in Control Severance Plan for Corporate Officers.
- RSUs use double-trigger vesting. Two things must both happen before the shares are yours: (1) the normal time-based vesting completes, and (2) the company has a liquidity event (an IPO or an acquisition). Until both happen, you do not yet own the shares and you do not owe tax on them.
- Vesting schedule: Time-based RSUs vest on a single cliff date approximately 2.5 to 3 years from grant, rather than the standard 4-year graded schedule with a 1-year cliff. Performance-based RSUs (PSUs) vest after a 3-year performance period based on achievement of performance metrics..

If you hold vested Broadridge Financial Solutions (BR) shares and need a set amount of cash by a date (a house down payment, tuition, a sabbatical, a business buy-in), the question is which lots to sell and in which tax years to keep the most after tax. This calculator builds the minimum-tax sell schedule across your lots, accounting for federal long-term capital gains, the net investment income tax, and your state.
Example: a 5,000-share BR position at $156.93 is worth $784,650. Say you need $150,000 of it for a house down payment by next spring. Selling enough shares all in one tax year can push the gain into the higher long-term capital-gains bracket and trigger the 3.8% net investment income tax; spreading the sale across two tax years often nets more. The calculator above finds the minimum-tax sell schedule across your specific lots, basis, goal, and date.

Broadridge Financial Solutions equity questions
- How much BR stock do I sell to fund a goal without overpaying tax?
- It depends on your cost basis, your target amount and date, and how the sale spreads across tax years. Selling vested BR shares triggers long-term capital-gains tax, plus the 3.8% net investment income tax and state tax above certain income, and bunching a large sale into one year can push the gain into a higher bracket. The calculator above builds the minimum-tax sell schedule across your lots to net your target amount by your date.
- Does Broadridge Financial Solutions grant ISOs, NSOs, or RSUs?
- Equity compensation at Broadridge Financial Solutions typically takes the form of restricted stock units (RSUs). Restricted stock units are taxed as ordinary income when they vest.
- Do Broadridge Financial Solutions RSUs use double-trigger vesting?
- Yes. Broadridge Financial Solutions restricted stock units (RSUs) vest only when two things both happen: the time-based schedule completes, and the company has a liquidity event such as an initial public offering (IPO) or an acquisition. Until both occur you do not own the shares and owe no tax on them.
