  • CDW's named executive officer RSU award agreements use double-trigger acceleration: vesting does not speed up automatically just because the company is acquired (a change in control). Acceleration only happens if there is both a change in control and a qualifying termination (being let go without cause, or resigning for good reason) within the relevant window.
