Constellation Brands, Inc. is an American producer and marketer of beer, wine, and spirits. A Fortune 500 company, Constellation is the largest beer import company in the US, measured by sales, and has the third-largest market share of all major beer suppliers. It also has sizable investments in medical and recreational cannabis through its association with Canopy Growth. Based in Rochester, New York, Constellation has about 40 facilities and approximately 9,000 employees.

The company grew from a New York wine operation founded in 1945 into the American rights holder for Corona and Modelo, which it acquired outright from a 2013 antitrust settlement. Those Mexican beer brands supply most of the profit and have taken share consistently. Wine and spirits have been pruned through divestiture to focus capital on beer. A large investment in cannabis producer Canopy Growth was written down substantially. Headquarters are in Rochester, New York.

Equity comp at Constellation Brands

  • RSUs (restricted stock units) do not fully vest just because Constellation Brands is acquired or undergoes a change in control. Full acceleration only happens if a qualifying termination (fired without cause, or resigns for good reason) occurs within 24 months after that change in control; if terminated for other reasons during the normal vesting period, RSUs vest on a pro-rated basis instead. Standard RSU vesting is three equal annual installments. The company historically had a dual-class structure: Class A common stock (the publicly traded STZ shares) and Class B common stock (10 votes per share, held mainly by the founding Sands family). In 2022, shareholders approved eliminating Class B stock, converting the company to a single share class. Employee RSUs settle only in Class A (now the company's sole class) common stock, not the former super-voting Class B shares.
  • RSUs use double-trigger vesting. Two things must both happen before the shares are yours: (1) the normal time-based vesting completes, and (2) the company has a liquidity event (an IPO or an acquisition). Until both happen, you do not yet own the shares and you do not owe tax on them.

If you hold vested Constellation Brands (STZ) shares and need a set amount of cash by a date (a house down payment, tuition, a sabbatical, a business buy-in), the question is which lots to sell and in which tax years to keep the most after tax. This calculator builds the minimum-tax sell schedule across your lots, accounting for federal long-term capital gains, the net investment income tax, and your state.

Example: a 5,000-share STZ position at $112.87 is worth $564,350. Say you need $150,000 of it for a house down payment by next spring. Selling enough shares all in one tax year can push the gain into the higher long-term capital-gains bracket and trigger the 3.8% net investment income tax; spreading the sale across two tax years often nets more. The calculator above finds the minimum-tax sell schedule across your specific lots, basis, goal, and date.

Constellation Brands equity questions

How much STZ stock do I sell to fund a goal without overpaying tax?
It depends on your cost basis, your target amount and date, and how the sale spreads across tax years. Selling vested STZ shares triggers long-term capital-gains tax, plus the 3.8% net investment income tax and state tax above certain income, and bunching a large sale into one year can push the gain into a higher bracket. The calculator above builds the minimum-tax sell schedule across your lots to net your target amount by your date.
Does Constellation Brands grant ISOs, NSOs, or RSUs?
Equity compensation at Constellation Brands typically takes the form of restricted stock units (RSUs). Restricted stock units are taxed as ordinary income when they vest.
Do Constellation Brands RSUs use double-trigger vesting?
Yes. Constellation Brands restricted stock units (RSUs) vest only when two things both happen: the time-based schedule completes, and the company has a liquidity event such as an initial public offering (IPO) or an acquisition. Until both occur you do not own the shares and owe no tax on them.
