  • Crown Castle's executive change-in-control protection is double-trigger: a change in control alone does not accelerate RSUs. Acceleration requires a 'Qualifying Termination Upon Change in Control,' meaning the equity holder must also be involuntarily terminated without cause, or resign for good reason, within two years after the deal closes. If that qualifying termination occurs during the change-in-control period, RSUs vest immediately (performance-based RSUs vest at target, with any amount above target continuing to vest). If a qualifying termination happens outside that window, RSUs continue vesting on schedule for up to two years, with performance-based RSUs still subject to meeting their performance goals.
  • RSUs use double-trigger vesting. Two things must both happen before the shares are yours: (1) the normal time-based vesting completes, and (2) the company has a liquidity event (an IPO or an acquisition). Until both happen, you do not yet own the shares and you do not owe tax on them.
