  • Equifax uses double-trigger vesting, meaning accelerated vesting of RSUs and other equity awards on a change in control requires both the change in control itself AND a qualifying employment event (termination without cause, resignation for good reason, or the acquirer failing to assume the awards). This replaced a prior single-trigger policy (automatic vesting on change in control alone) for awards granted before 2017. Non-CEO named executives are covered by the Equifax Inc. 2019 Change in Control Severance Plan; the CEO's change-in-control equity treatment is instead set out in his employment agreement.
