Johnson & Johnson separated its consumer health division in 2023, creating an independent owner of Tylenol, Neutrogena, Listerine, and Band-Aid. - Kenvue was spun off from Johnson & Johnson in 2023. J&J RSUs, PSUs, and stock options held by Kenvue employees converted automatically into Kenvue awards at the spin-off, on economically equivalent terms, with no action required from employees. Under the Kenvue Long-Term Incentive Plan, equity awards use double-trigger vesting on a change in control: acceleration only occurs if the award is not assumed or substituted by an acquirer, or if it is assumed and the holder is then terminated without cause (or resigns for good reason) within two years. As of August 2026, Kenvue is under a pending acquisition by Kimberly-Clark (announced November 2025, shareholder-approved January 2026, expected to close Q4 2026). Under the merger agreement, outstanding Kenvue RSUs and PSUs convert into Kimberly-Clark RSUs (using an equity award exchange ratio) on the same vesting terms, and vested stock options remain exercisable for one year after a qualifying termination following close.
