Lock-in-now is deterministic (0%). Plans that wait depend on future prices; risk is near-zero when inventory comfortably exceeds the goal. Volatility: each stack's option-implied vol if a ticker is set, otherwise 30%. Lognormal model; real markets have fatter tails.

About MercadoLibre

MercadoLibre (MELI) is a public Marketplace company, headquartered in Montevideo, X3.

Equity grants at MercadoLibre typically include restricted stock units (RSUs).

MercadoLibre, Inc., known as Mercado Livre in Brazil, literally meaning "free market" in both languages, is a company of Argentine origin headquartered in Montevideo, Uruguay and incorporated in Delaware in the United States that operates online marketplaces dedicated to e-commerce and online auctions. As of 2016, Mercado Libre had 174.2 million users in Latin America, making it the region's most popular e-commerce site by number of visitors.

Marcos Galperin founded the company in 1999 while at Stanford, building an auction marketplace for Latin America when card penetration and postal reliability made ecommerce difficult. Solving those constraints produced the business: Mercado Pago for payments and credit, and Mercado Envios for logistics, both now large enough to matter independently of the marketplace. Brazil, Argentina, and Mexico supply most volume. The company is incorporated in Delaware, operationally headquartered in Montevideo and Buenos Aires, and remains the dominant ecommerce platform in the region.

Equity comp at MercadoLibre

  • RSUs use single-trigger vesting: shares become yours as each portion vests on schedule, and the value is taxed as ordinary income at that point. No IPO or acquisition is required.

MercadoLibre equity questions

How much MELI stock do I sell to fund a goal without overpaying tax?
It depends on your cost basis, your target amount and date, and how the sale spreads across tax years. Selling vested MELI shares triggers long-term capital-gains tax, plus the 3.8% net investment income tax and state tax above certain income, and bunching a large sale into one year can push the gain into a higher bracket. The calculator above builds the minimum-tax sell schedule across your lots to net your target amount by your date.
Does MercadoLibre grant ISOs, NSOs, or RSUs?
Equity compensation at MercadoLibre typically takes the form of restricted stock units (RSUs). Restricted stock units are taxed as ordinary income when they vest.
Do MercadoLibre RSUs use double-trigger vesting?
No. MercadoLibre restricted stock units (RSUs) use single-trigger vesting: each tranche becomes yours as it vests on schedule, taxed as ordinary income at that point, with no liquidity event required.
