  • Veralto was spun off from Danaher in October 2023. Employees who moved to Veralto had outstanding Danaher RSUs and stock options converted into equivalent Veralto awards at the spin-off, calibrated so the value held immediately after the split matched the value immediately before it: options were converted using a Black-Scholes valuation and RSUs using Danaher’s closing stock price on the original grant date. Change-in-control vesting acceleration is double-trigger: it requires both a change in control and a qualifying termination (without cause, or resignation for good reason) within a 24-month protection period, not the change in control alone.
  • RSUs use double-trigger vesting. Two things must both happen before the shares are yours: (1) the normal time-based vesting completes, and (2) the company has a liquidity event (an IPO or an acquisition). Until both happen, you do not yet own the shares and you do not owe tax on them.
  • Vesting schedule: Standard grants vest ratably over four years: one-fourth on each of the first four anniversaries of the grant date (no one-year cliff). Some awards instead vest one-third each on the second, third, and fourth anniversaries..
