  • GE Vernova's RSU vesting is unusual: many grants pay out in two equal chunks on the second and third anniversaries of grant, with nothing vesting in year one, rather than the four-year annual schedule common at tech companies. Equity acceleration on a change in control is double trigger, not automatic. Under the company's Executive Change in Control Severance Benefits Policy, unvested time-based RSUs fully vest only if the employee is terminated without cause or resigns for good reason (a qualifying termination) within 24 months after a change in control, not upon the change in control by itself. Performance share units vest at target or actual performance, whichever is higher, under this same double-trigger condition.
  • RSUs use double-trigger vesting. Two things must both happen before the shares are yours: (1) the normal time-based vesting completes, and (2) the company has a liquidity event (an IPO or an acquisition). Until both happen, you do not yet own the shares and you do not owe tax on them.
  • Vesting schedule: RSUs typically vest in two equal installments on the second and third anniversaries of the grant date (no vesting in year one), rather than a standard four-year ratable schedule. Some grants instead use three equal annual installments..
