$47,709
Sell + invest wins by $4,981 over Hold 1 yr.

Heads-up: under-withholding. Your employer withholds federal tax at the IRS supplemental rate (22.0% on this vest, ≈ $17,600). Your marginal federal rate on this vest is 32.7%, owing $26,171. Expect to settle the $8,571 gap at tax time.
The hidden purchase
Tax was paid at vest either way. Holding is mathematically equivalent to taking $44,509 in after-tax cash and buying $44,509 of NWSA today.
Most diversification frameworks would advise against a purchase that size in a single name; the right answer depends on your conviction in NWSA. Holding past one year converts the gain to LTCG.

Best payout| Vest value (shares × price) | $80,000 |
| Federal | |
| State | |
| Medicare | −$1,160 |
| Additional Medicare | −$720 |

| Net at year 1 yr | $47,709 |
Sell every share at vest; invest the after-tax cash at the market return for 1 yr, then liquidate. Diversified — no single-stock concentration risk.
Hold 1 yr
| Vest value (shares × price) | $80,000 |
| Vest tax (federal + state + FICA) | |
| Net at year 1 yr | $42,728 |
Sold 444 shares to cover vest tax (net-settled); kept 556 shares 1 yr to qualify for long-term capital gains.
Social Security + Medicare are payroll taxes (collectively called FICA) — they apply because you're still employed at vest.
Both columns are stated in year-1 yr dollars. The sell side compounds at the market return; the hold side compounds at your single-stock expected return after a 20% volatility drag.
Estimates only. Assumes net-settled (sell-to-cover) vesting; double-trigger and pre-IPO RSUs are out of scope. Excludes multi-state moves, AMT interactions on other equity, and 83(b) elections. Not financial advice.

News Corporation, doing business as News Corp, is an American mass media and publishing company headquartered at 1211 Avenue of the Americas in Midtown Manhattan, New York City. The company was formed on June 28, 2013, as a spin-off of the first News Corporation, whose legal successor was 21st Century Fox, which held its media and entertainment assets. Operating across digital real estate information, news media, book publishing, and cable television, News Corp's notable assets include: Dow Jones & Company, which is the publisher of The Wall Street Journal; News UK, publisher of The Sun and The Times; News Corp Australia; REA Group, operator of realestate.com.au and realtor.com; and book publisher HarperCollins.

The current company was created in 2013 when Rupert Murdoch separated publishing from entertainment, leaving newspapers, book publishing, and digital real-estate listings under one holding structure. The mix is unusual: The Wall Street Journal and HarperCollins sit alongside REA Group and Realtor.com, and the property portals generate a disproportionate share of profit relative to their share of revenue. Subscription growth at Dow Jones has partly offset structural decline in print advertising. Payments from technology platforms for news content have become a negotiated revenue line. Headquarters are in New York.

Equity comp at News Corp
- News Corp has a dual-class share structure. Class A Common Stock (ticker NWSA) carries no general voting rights, while Class B Common Stock (ticker NWS) carries full voting rights and is majority controlled by the Murdoch family trust, giving the family roughly 40% of the vote on an economic stake of about 14%. Restricted stock units granted to employees settle in Class A shares, so equity holders receiving RSUs get economic exposure to the stock's price and dividends but no meaningful say in corporate votes such as director elections or a potential sale of the company. In 2024, activist investor Starboard Value proposed eliminating the dual-class structure; shareholders voted to keep it in place.
- Vesting schedule: RSUs are not on a single fixed schedule. Per News Corp's 10-K disclosure, grants primarily vest over two to four years, and recent named-executive grants have vested in equal annual installments over three years rather than a standard four-year, one-year-cliff schedule..

News Corp (NWSA) RSUs vest as ordinary income at the price on vest day. The decision is whether to sell at vest and reinvest, or hold the shares through the 12-month LTCG cliff. This calculator runs both paths through the same after-tax math so you can compare like-for-like.
Example: 500 News Corp (NWSA) RSUs vesting at $28.69 per share is $14,345 of ordinary income on vest day. After roughly 32% combined federal + state + FICA (~$4,590), the post-tax share value is ~$9,755. Holding 12 months for long-term capital-gains treatment then only matters for the price change between vest and sale; the ordinary income at vest is already locked in. The calculator runs both paths through the same after-tax math.
