Estate note. Heirs receive a stepped-up basis at death (§1014), eliminating built-in gain on inherited shares. Older holders who plan to bequeath rather than sell may rationally never de-concentrate.

Gen Digital Inc. is a multinational software company co-headquartered in Tempe, Arizona, United States, and Prague, Czech Republic. The company provides cybersecurity software, financial technology, and services. Gen is a Fortune 500 company and a member of the S&P 500 stock-market index. It is listed on the NASDAQ and Prague Stock Exchange. Its portfolio includes Norton, Avast, LifeLock, Avira, AVG, ReputationDefender, MoneyLion and CCleaner.

The company is what remained after Symantec sold its enterprise security division to Broadcom in 2019, keeping the consumer brands and later merging with Avast in 2022 to form Gen Digital. Norton, Avast, LifeLock, and Avira are sold as subscriptions directly to consumers, so the economics turn on renewal rates and the cost of acquiring a subscriber rather than on enterprise sales cycles. Identity protection and credit monitoring carry higher prices than antivirus alone, which is why the mix has shifted that way. Direct billing relationships make price increases straightforward to implement. Headquarters are in Tempe, Arizona.

Equity comp at Gen Digital

  • Gen Digital's change-in-control acceleration is double-trigger, but it is documented specifically for Section 16(b) officers (the executive team) under the company's Executive Retention Plan, not as a broad-based employee policy. It requires both a change in control and a qualifying termination (without cause, or constructive termination by the acquirer) within 12 months after that event. When triggered, stock options, RSUs, and PRUs (at target, or actual achievement if measurable) become fully vested and, where applicable, exercisable. Rank-and-file employee awards are not shown to carry this specific provision in public filings; RSUs also vest over three years rather than the more common four-year schedule.
  • RSUs use double-trigger vesting. Two things must both happen before the shares are yours: (1) the normal time-based vesting completes, and (2) the company has a liquidity event (an IPO or an acquisition). Until both happen, you do not yet own the shares and you do not owe tax on them.
  • Vesting schedule: RSUs typically vest over three years in annual installments, shorter than the four-year schedule common at many tech companies. Performance-based RSUs (PRUs) vest based on achievement over a three-year performance period..

If a meaningful share of your net worth sits in GEN, concentration risk is the question. This calculator quantifies drawdown impact at 30 / 50 / 70%, and the trade-off between selling down (tax cost now) versus hedging (option premium drag), auto-filled with GEN's option-implied volatility.

Example: 5,000 GEN shares at $21.99 is a $109,950 position. A 30% drawdown costs $32,985; a 50% drawdown costs $54,975; a 70% drawdown costs $76,965. The calculator quantifies the trade-off between selling down (immediate capital-gains tax) and hedging (option premium drag) using GEN's option-implied volatility and your cost basis.

Gen Digital equity questions

How much GEN stock is too much?
There is no single threshold, but the larger the share of your net worth in one stock, the more a single bad year can set back your plans. The calculator above quantifies the drawdown impact at 30, 50, and 70 percent for your GEN position and weighs selling down (which triggers capital-gains tax now) against hedging (which costs option premium).
Does Gen Digital grant ISOs, NSOs, or RSUs?
Equity compensation at Gen Digital typically takes the form of restricted stock units (RSUs). Restricted stock units are taxed as ordinary income when they vest.
Do Gen Digital RSUs use double-trigger vesting?
Yes. Gen Digital restricted stock units (RSUs) vest only when two things both happen: the time-based schedule completes, and the company has a liquidity event such as an initial public offering (IPO) or an acquisition. Until both occur you do not own the shares and owe no tax on them.
