David Ellison's Skydance completed its acquisition of Paramount Global in 2025, combining the studio, CBS, and cable networks with a production company built around film franchises. The inherited problem is the one facing every legacy media owner: cable networks throw off cash while losing subscribers, and streaming consumes that cash while building an audience. Film and television libraries have value both as streaming inventory and as licensing revenue to competitors. Cost reduction and content strategy are the two levers management has signaled. - Paramount Skydance's 2025 merger converted (not accelerated) employee equity: each outstanding Paramount RSU award was assumed by the new parent company and turned into an equivalent RSU award in the new stock, keeping the same vesting schedule and same terms for accelerated vesting on a qualifying termination. Performance-based RSUs (PSUs) for periods not yet finished were converted assuming target-level performance was met. Executives are covered by a Change in Control Severance Protection Plan that gives full, immediate vesting of outstanding equity awards only if the employee is terminated without cause, or resigns for good reason, within 6 months before or 24 months after a change in control.
