- Quanta Services changed its change-in-control vesting rule in August 2023. For equity awards (RSUs, restricted stock, and performance units) granted after that date, unvested awards no longer vest automatically just because the company is acquired (a change in control). Instead, vesting only accelerates if the equity holder is also terminated without cause within 24 months after the change in control, and only when the deal consideration isn't 100% cash. Awards granted before August 2023 generally still vest on the change-in-control event alone (single-trigger). Standard RSU vesting outside of a change in control is three equal annual installments.

- RSUs use double-trigger vesting. Two things must both happen before the shares are yours: (1) the normal time-based vesting completes, and (2) the company has a liquidity event (an IPO or an acquisition). Until both happen, you do not yet own the shares and you do not owe tax on them.
