Danaher separated its water quality and product identification businesses in 2023, creating a company that tests and treats water and prints the codes and labels on consumer packaging. Both halves sell consumables and services against an installed base, so revenue recurs without depending on new equipment orders. Water utilities and food producers buy under regulatory requirement rather than discretion. Employees held Danaher awards that converted at separation, resetting cost basis and holding periods. Headquarters are in Waltham, Massachusetts.

Equity comp at Veralto
- Veralto was spun off from Danaher in October 2023. Employees who moved to Veralto had outstanding Danaher RSUs and stock options converted into equivalent Veralto awards at the spin-off, calibrated so the value held immediately after the split matched the value immediately before it: options were converted using a Black-Scholes valuation and RSUs using Danaher’s closing stock price on the original grant date. Change-in-control vesting acceleration is double-trigger: it requires both a change in control and a qualifying termination (without cause, or resignation for good reason) within a 24-month protection period, not the change in control alone.
- RSUs use double-trigger vesting. Two things must both happen before the shares are yours: (1) the normal time-based vesting completes, and (2) the company has a liquidity event (an IPO or an acquisition). Until both happen, you do not yet own the shares and you do not owe tax on them.
- Vesting schedule: Standard grants vest ratably over four years: one-fourth on each of the first four anniversaries of the grant date (no one-year cliff). Some awards instead vest one-third each on the second, third, and fourth anniversaries..

A protective put caps your downside on the VLTO position at a chosen floor; a zero-cost collar pays for that floor by capping the upside. This calculator prices both structures off the current VLTO option chain, with annual cost, max loss, and tax-treatment notes.
Example: a 5,000-share VLTO position at $94.32 is worth $471,600. A 1-year 30%-OTM put on that position typically runs 2-4% of position value per year (about $9,432 to $18,864) before any premium offset from a short call. The calculator prices both structures off VLTO's current option chain so you see the actual cost for your chosen floor, tenor, and cap.

Veralto equity questions
- How much does it cost to hedge VLTO stock?
- The cost of a protective put depends on how far below the current price you set the floor, how long the protection lasts, and VLTO's option-implied volatility. A zero-cost collar lowers that cost by selling away some upside. The calculator above prices both structures off the current VLTO option chain and shows the annual cost, maximum loss, and tax treatment.
- Does Veralto grant ISOs, NSOs, or RSUs?
- Equity compensation at Veralto typically takes the form of restricted stock units (RSUs). Restricted stock units are taxed as ordinary income when they vest.
- Do Veralto RSUs use double-trigger vesting?
- Yes. Veralto restricted stock units (RSUs) vest only when two things both happen: the time-based schedule completes, and the company has a liquidity event such as an initial public offering (IPO) or an acquisition. Until both occur you do not own the shares and owe no tax on them.
